WHY I BUILT THIS
My CPA kept dropping the ball. My business paperwork wasn't in order, my protection wasn't in place, and every time I followed up — nothing. So I did what I've done my whole life: I researched it myself, figured it out, and got it done.
On April 9, 2026, I formed Wilborn Sovereign Holdings, LLC — a Wyoming Series LLC — and built every offer I run underneath it. I chose Wyoming on purpose, for reasons specific to how I'm structured. Not because somebody told me Wyoming was a magic tax loophole. It isn't one, and anybody selling it to you that way is selling you something.
That's the difference in this guide. I'm not going to tell you Wyoming is automatically right for you — I'm going to show you how to decide, honestly, before you spend a dollar filing anything. Then I'll walk you all the way through whichever path is actually yours.
If you've been waiting on somebody to get your business right, wait no more. Do it yourself. Right now. For $47.

the decision
Before you file anywhere, you need to make one decision
Most LLC guides skip this. They pick a state for you — usually whichever one pays them a referral fee — and start filling out forms.
Here's what they don't tell you: an LLC doesn't pay income tax.
The profit flows to your personal return and gets taxed by the state you live in. So forming in a "no income tax" state doesn't lower your tax bill unless you live there.
"Before you file anywhere" — you need to make one decision
Most LLC guides skip this. They pick a state for you — usually whichever one pays them a referral fee — and start filling out forms.
And if you run your business from your home state, you'll usually have to register your out-of-state LLC there too — which means two filings, two registered agents, and two sets of annual fees instead of one.
WHAT MOST GUIDES IMPLY
One filing. One agent.
One annual fee.
THE REALITY FOR MOST BUYERS
Two filings. Two agents.
Two annual fees — every year.
Wyoming is a genuinely strong choice for some businesses. It's the wrong first move for others. The Sovereign Setup™ starts by helping you figure out which one you are — with the real numbers in front of you — and then walks you through the path you picked.
No hype. No loophole talk. Just the decision, made properly, before you spend anything.
WHAT YOU'RE GETTING
THE PROBLEM
No LLC means no separation between you and your business. Your personal assets are exposed. You can't open a business bank account. You're leaving money on the table with every client who needs to see you're legit. And every day you wait is another day you're operating at risk.
THE process
01
Clarify your business purpose and the protection you need before you file anything.
02
Wyoming or your home state? Walk through where you operate, what you're protecting, and what each path really costs per year. Decide with numbers, not vibes.
03
Search, claim, and lock in your LLC name the right way.
04
What it is, why it's required, and how to do it without overpaying.
05
Step-by-step filing walkthrough for the state you chose. No attorney required.
06
If you formed out of state, this is the step nobody warns you about. Get properly registered in your home state so your protection actually holds.
07
Straight from the IRS. Free. Fast. Never pay a third party for this.
08
The exact documents you need and what to look for.
09
Operating agreement, brand protections, and your annual filing calendar so Year 2 doesn't catch you.
faq
That's the first real question, and the guide answers it with you in Step 2 rather than deciding for you.
The short version: Wyoming is strong on privacy — it doesn't publish member names in its public database — and on asset protection. It's often the right call if your business is fully online with no physical location, if you're building a holding structure, or if privacy is a genuine priority for you.
Your home state is usually simpler and cheaper if you operate from a physical location, serve local clients, or just want one filing and one annual fee to keep track of.
Step 2 puts your actual numbers side by side so you can see the difference before you commit.
Almost certainly not, and I'd rather tell you that before you pay me $47 than after.
An LLC is a pass-through entity — it doesn't pay income tax itself. The profit flows to your personal tax return and is taxed by the state you live in. Wyoming having no state income tax is a fact about people who live in Wyoming. If you live in Georgia, you pay Georgia income tax on your profit whether your LLC is filed in Cheyenne or Atlanta.
People form in Wyoming for privacy, asset protection, and structure. Not for a tax break that doesn't exist for out-of-state owners. For your specific tax situation, talk to a CPA or tax professional.
No — anyone can form one, you just need a Wyoming registered agent.
But there's a second half most guides leave out: if you're operating your business from your home state, you'll generally need to register your Wyoming LLC there as a "foreign LLC" too. That means two registrations, two registered agents, and two annual filings. It's completely doable — Step 6 walks you through it — but you should know it's coming before you file, not after.
Depends on the path you choose, which is exactly why Step 2 exists. Rough shape:
• Wyoming: $100 to file your Articles, plus a registered agent (typically $50–$150/year), plus an annual report — currently a minimum of $60, calculated as the greater of $60 or $0.0002 times your assets located in Wyoming. For most online businesses with no Wyoming assets, that's the $60 minimum.
• Plus your home state, if you operate there: a foreign-registration fee and that state's own annual filing, which varies a lot state to state.
• Or home state only: one formation fee, one annual filing, one set of deadlines.
The guide has you fill in your own state's numbers so you're comparing real figures. Verify current amounts on the official state websites at the time you file — fees change.
No. The Sovereign Setup™ is an educational guide. It walks you through the process step by step with AI support, and it points you to official state sources for anything specific to your situation. It is not legal or tax advice, and I'm not an attorney or a CPA. For questions about your particular circumstances, consult a licensed professional.
Most women finish in one focused session of 2–3 hours. Your progress saves, so you can also move through it across several sittings — and Step 2 is worth taking your time on.
A business idea, your personal information, and $47. The guide handles everything else.
The guide will help you understand your options, including whether adding or moving to a Wyoming LLC makes sense for your structure. What it won't do is tell you Wyoming will cut your tax bill — see the tax question above. Restructuring an existing entity has real tax and legal consequences, so that's a conversation worth having with a professional before you move.
